Agreement to Terms
By accessing or using UClerk - our Invoice Generator application, you agree to be bound by these Terms and Conditions.
Description of Service
Our Service provides invoice generation and management capabilities for businesses and individuals.
User Accounts
Account Creation
- 1. You must provide accurate information when creating an account
- 2. You are responsible for maintaining account security
- 3. You must be at least 18 years old to use the Service
Account Responsibilities
- 1. Keep login credentials confidential
- 2. Notify us of any unauthorized access
- 3. One account per user unless explicitly authorized
Acceptable Use
You agree not to:
- 1. Violate any laws or regolations
- 2. Infringe on intellectual property rights
- 3. Use the Service for unauthorized commercial purposes
- 4. Attempt to gain unauthorized access
- 5. Transmit malicious code or content
Payment Terms
Fees and Payments
- 1. Payment is required for premium features
- 2. All fees are exclusive of taxes.
- 3. We reserve the right to modify pricing with notice. We are obligated to take any adjustment to the price or taxes with or without prior notice. User will be responsible for any taxes that may be applicable to the services provided by UClerk.
Refunds
UClerk operates in compliance with the Australian Consumer Law (ACL), as outlined in the Competition and Consumer Act 2010 (Cth).
Your Rights Under Australian Consumer Law
Under ACL, you are entitled to a refund, replacement, or repair if the Service:
- 1. Fails to meet acceptable quality standards.
- 2. Is not fit for its intended purpose.
- 3. Does not match the description or advertised features.
These rights apply in addition to any contractual refund terms we offer.
Eligibility for Refunds
We will provide refunds under the following conditions:
- 1. Major Service Failures: If UClerk experiences a major failure that prevents access or use of essential features for a significant period.
- 2. Incorrect Charges: If you were billed incorrectly due to a system error or processing fault.
- 3. Peace of mind: UClerk will refund any first time subscriber if they are not happy with the service. This only apply to new customer and first time subscription only.
Exclusions
Refunds will not be granted in cases where:
- 1. You change your mind after purchasing a paid subscription. Exclusion apply under (Eligibility for refunds third paragraph).
- 2. The issue arises from misuse, unauthorized modifications, or external factors beyond our control.
- 3. You experience minor issues that do not constitute a major service failure.
Refund Process
- 1. Contact Support: Submit a detailed refund request via our contact form, including your account details and the reason for the request.
- 2. Review and Resolution: We will assess your request based on ACL guidelines and respond within a reasonable timeframe.
Payment Disputes
If you believe there is a billing error, contact our support team as soon as possible. Disputed charges will be reviewed and corrected if necessary.
Intellectual Property
Our Rights
- 1. All Service content is our property
- 2. Limited license to use the Service
- 3. Restrictions on copying or modification
Your Content
- 1. You retain rights to your content
- 2. You grant us license to host and process your content
- 3. You are responsible for your content
Limitation of Liability
- 1. We provide the Service "as is"
- 2. We are not liable for indirect damages
- 3. In no event shall we be liable for any damages arising out of or in connection with the use of the Service.
Termination
We may terminate or suspend your account for:
- 1. Violation of these terms
- 2. Fraudolent activity
- 3. Non-payment
- 4. Extended inactivity
Changes to Terms
We may modify these terms with notice. Continued use constitutes acceptance of changes.
